TIGGES advises Polish Proptech company SINGU on the acquisition of net-haus GmbH

TIGGES has provided comprehensive legal advice to the Polish Proptech company SINGU in connection with the acquisition of the digitalisation service provider net-haus GmbH.

Founded in 2009, SINGU is a leading PropTech company offering a cloud-based CAFM platform that transforms the way commercial, retail, and logistics properties are managed. The solution enables centralized, scalable, and efficient oversight of building operations including facility management, preventive maintenance, ESG, and reporting. By leveraging modern technologies such as IoT sensors, AI-driven analytics, and and real-time reporting tools, SINGU helps real estate professionals streamline processes, improve sustainability, and enhance tenant experiences. SINGU supports more than 500 clients in 35 countries, managing over 200 million square meters of commercial real estate. The company is headquartered in Kraków, Poland, with additional offices in Warsaw and Frankfurt am Main, employing over 90 people across five countries.

Berlin-based net-haus GmbH is a software company specialising in the development and distribution of innovative software solutions that make building management smarter and more efficient. With over 25 years of market experience and more than 600 customers using its "Hausmanager" solution, net-haus contributes substantial expertise to the group.

The acquisition marks an important milestone for SINGU – only a few weeks after the company's official market entry in Germany – and underlines its strong commitment to consistently expanding its presence in the DACH region. The parties agreed not to disclose the financial details of the transaction.

The interdisciplinary TIGGES team advised throughout the entire acquisition process: from the legal due diligence and advice on German law to the drafting and negotiation of the SPA and support of signing and closing.

With this transaction, TIGGES underlines its longstanding expertise in advising on cross-border M&A transactions and its strong ties to the Polish market. TIGGES is present in Warsaw and Katowice and has a specialised Polish Desk based in Germany and Poland. The team consists of twelve German-, Polish- and English-speaking

lawyers and tax advisors, providing comprehensive advice on German-Polish legal and tax matters.

TIGGES was brought into this mandate upon recommendation of Polish lawyer Jan Jarmul from Moskwa Jarmul Haładyj, with whom TIGGES has maintained a longstanding relationship.
