M&A Transactions in the SME sector

.

f you look into the relevant (trade) journals, M&A transactions are mainly reported in connection with mergers and acquisitions (M&A) by or between large companies.

Transactions of small or medium-sized enterprises (SMEs), however, hardly receive any public attention. Nevertheless, they do take place and even form the majority. If you look at the figures, it becomes clear why: 99 percent of the companies based in Germany are small or medium-sized enterprises. They generate more than half of the value added, they provide almost 60 percent of all jobs and around 82 percent of all apprenticeships. Politicians also like to use these facts for promotional purposes. Who is not familiar with the frequently used slogan: "SMEs are the success factor of the German economy".

This white paper (download) provides small and medium-sized enterprises with an initial guideline on how a transaction process can basically be designed and successfully mastered and deals with the following process steps:

  • Due Diligence
  • Data protection Due Diligence
  • IP Due Diligence
  • Contract negotiation and signing
  • Closing and integration of the target company into the existing structures of the acquirer
